The Government Grant comprises an Agreement and Conditions of Exchange dated 22nd April 1997 and registered in the Land Registry as New Grant No.9063 including any subsequent extensions or variations or modifications thereof or renewals thereof.

The team of the Government Grant commenced from 22nd April 1997 and shall expire on 30th June 2047.

The Government rent for the Lot is at a rate of 3% per annum of the rateable value from time to time of the Lot.

The Lot or any part thereof shall not be used for any purpose other than non-industrial (excluding hotel, office, godown and petrol filling station) purposes.

Special Condition (13) requires the Developer to complete the Development in compliance with the Government Grant and to make the Development fit for occupation within 84 months from 22nd April 1997.

Special Condition (5) and (6) provide that the owners of the Lot shall maintain at their expenses the "Green Area A" (as shown hatched black and coloured green on the Plan annexed to the Government Grant) to the satisfaction of the Director of Lands until such time as possession of the same has been delivered to the Government.

Special condition (9) and (10) provide that the owners of the Lot shall maintain at their expenses the "Green Area B" (as shown double hatched black and coloured green on the Plan annexed to the Government Grant) to the satisfaction of the Director of Lands until such time as possession of the same has been delivered to the Government.

Special Condition (17) provides that the owners of the Lot shall upkeep and maintain the area shown cross-hatched black and coloured green on the Plan annexed to the Government Grant to the satisfaction of the Director of Lands.

Special Condition (25) provides that the recreational facilities and facilities ancillary thereto provided within the Lot shall only be used by the residents of the Development and their bona fide visitors and by no other person or persons whatsoever.

Special condition (26) provides that the Developer shall maintain and uphold a transport terminus within the Lot to be accessible by public on a 24 hours a day basis throughout the term of the Government Grant. The transport terminus shall be assigned and delivered to the Government on Government's demand. The owners of the Lot shall maintain and uphold a temporary public transport terminus at the area shown stippled black and coloured green on the Plan annexed to the Government Grant to be accessible by the public on a 24 hours a day basis and to keep it operated until the transport terminus is completed and fit for operation. Upon the cessation of use of the temporary transport terminus, the owners shall at their own costs reinstate, fence and deliver back the stippled black and coloured green area to the Government.

Special condition (30) provides the the owners of the Lot shall provide and to keep open within the Lot and the Development at all times throughout the term granted under the Government Grant a free public pedestrian way to link up the Development with the two proposed footbridges and shall manage and maintain the pedestrian ways or paths in good and substantial condition and repair in all respects to the satisfaction of the Director of Lands.

Special Condition (31) provides that when called upon to do so by the Director of Lands, two single storey covered footbridges and escalators shall be constructed in all respects to the satisfaction of the Director of Lands.

Special condition (32) provides that the Lot is granted with a right for the owners to pass and repass through the area shown coloured brown on the plan annexed to the Government Grant (the "Brown Area") and that the owners shall uphold, maintain and repair such brown area to the satisfaction of the Director of Lands provided that the Government shall have the right to grant rights of way over the Brown Area to the owners of any other lots in the vicinity or take over the whole or any portion of the Brown Area for any purposes without compensation. The Brown Area shall be re-delivered to the Government on demand by the Director of Lands and the Government shall have the absolute right to close the Brown Area without compensation.

Special Condition (34) provides that the spaces so provided in accordance with sub-clause (a) of this Special Condition shall not be used for any purpose other than for the parking of motor vehicles licensed under the Road Traffic Ordinance belonging to the residents or occupiers of the building or buildings erected or to be erected on the Lot and their bona fide guests and visitors and in particular the said spaces shall not be used for the storage, display or exhibiting of motor vehicles for sale or otherwise.

Special Condition (41) and (54) provide that one day nursery and one children and youth centre cum study/reading room be constructed within the Development and the owners shall maintain such items as shall therein set out.

Special Condition (77) provides that the owners shall construct and maintain a temporary water supply system and the temporary sewage drainage system along the blue line as shown on the Plan annexed to the Government Grant.

Special Condition (93) provides that the owners shall maintain in good substantial repair and condition to the satisfaction of the Director of Lands the area coloured green circled black on the plan annexed to the Government Grant including all land, slope treatment works, earth-retaining structures, drainage and any other works therein and thereon until the Brown Area mentioned in Special Condition (32) shall have been re-delivered to the Government.

Special Condition (98) provides that the owners shall maintain in good substantial repair and condition to the satisfaction of the Director of Lands the area coloured green crossed black on the plan annexed to the Government Grant including all land, slope treatment works, earth-retaining structures, drainage and any other works therein and thereon.
